1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and SwiftLedger Financial Services ("SwiftLedger," "we," "us," or "our"), a bookkeeping and accounting firm located at 401 Bay Street, Suite 1600, Toronto, ON M5H 2Y4, Canada.

By accessing our website (swiftledger.life) or engaging our professional services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

2. Services

SwiftLedger provides professional bookkeeping, tax preparation, payroll processing, financial consulting, and CRA audit support services to individuals and businesses in Canada. The specific scope, terms, and fees for each engagement will be outlined in a separate service agreement or letter of engagement provided to the client prior to commencement of work.

Our services are provided in accordance with generally accepted accounting principles (GAAP) in Canada and applicable CPA professional standards.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate, complete, and timely information and documentation necessary for us to perform the agreed-upon services
• Inform us promptly of any changes to your financial situation, business structure, or personal information that may affect our services
• Review all documents, reports, and tax returns prepared by us for accuracy before filing or submission
• Retain copies of all original documents provided to us
• Pay all fees and charges in accordance with the agreed-upon terms
• Comply with all applicable Canadian laws and regulations

You acknowledge that the accuracy and completeness of the information you provide directly impacts the quality and accuracy of our work. SwiftLedger shall not be held liable for errors or omissions resulting from incomplete or inaccurate information provided by the client.

4. Fees and Payment

Our fees are outlined in the engagement letter or service agreement provided to each client. Unless otherwise agreed in writing:

• Invoices are issued monthly or upon completion of specific services
• Payment is due within thirty (30) days of the invoice date
• We accept payment by cheque, electronic funds transfer (EFT), and major credit cards
• Late payments may be subject to interest at a rate of 1.5% per month (18% per annum) on the outstanding balance
• We reserve the right to suspend services if payment is overdue by more than sixty (60) days

All fees are quoted in Canadian dollars and are subject to applicable HST (13% in Ontario). We reserve the right to adjust our fees with thirty (30) days' written notice.

5. Confidentiality

We maintain strict confidentiality of all client information in accordance with our professional obligations as Chartered Professional Accountants and our Privacy Policy. We will not disclose your personal or financial information to any third party without your consent, except as required by law or as necessary to provide our services (e.g., filing with the CRA).

6. Intellectual Property

All content on the SwiftLedger website, including text, graphics, logos, images, and software, is the property of SwiftLedger Financial Services or its content suppliers and is protected by Canadian and international copyright laws.

You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.

7. Limitation of Liability

To the fullest extent permitted by law:

• SwiftLedger's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim during the twelve (12) months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities
• We are not responsible for penalties, interest, or additional taxes assessed by the CRA or any government agency as a result of information provided by the client that was inaccurate, incomplete, or untimely
• We are not liable for any delays or failures in performance resulting from circumstances beyond our reasonable control

8. Indemnification

You agree to indemnify and hold SwiftLedger, its partners, employees, and agents harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your provision of inaccurate or incomplete information
• Your failure to comply with applicable laws and regulations
• Any third-party claims related to your use of our services

9. Termination

Either party may terminate the service engagement by providing thirty (30) days' written notice to the other party. Upon termination:

• The client is responsible for payment of all fees for services rendered up to the date of termination
• We will return all original client documents within thirty (30) days
• We may retain copies of working papers and documents as required by our professional standards and regulatory obligations
• Confidentiality obligations shall survive termination

We reserve the right to terminate services immediately if the client engages in fraudulent activities, provides deliberately false information, or fails to cooperate in a manner that compromises our professional obligations.

10. Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorised access to any part of the website or its related systems
• Transmit any viruses, malware, or harmful code
• Collect personal information of other users
• Use automated systems or bots to access the website

11. Disclaimer of Warranties

Our website and its content are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

Information provided on our website is for general informational purposes only and does not constitute professional accounting, tax, or financial advice. You should consult with a qualified professional before making any financial decisions.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The parties agree to first attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation before a mutually agreed-upon mediator in Toronto, Ontario. If mediation fails, either party may pursue legal remedies in the courts of Ontario.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable engagement letter or service agreement, constitute the entire agreement between you and SwiftLedger regarding the subject matter herein. These Terms supersede all prior agreements, representations, and understandings.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
